Terms & Conditions

These Terms and Conditions ("Terms") govern the use of services provided by Sinar Dagang ("we", "us", "our"), a business consulting practice based in Kuala Lumpur, Malaysia. By engaging our services or submitting an enquiry through our website at sinardag.live, you ("Client", "you") agree to these Terms.

1. Definitions

• "Services" — the consulting services offered by Sinar Dagang, including Morning Review, Pricing Reflection, and Steady Year Support
• "Engagement" — a confirmed service arrangement between the Client and Sinar Dagang
• "Agreement" — these Terms, together with any written service confirmation or proposal
• "Session" — a scheduled meeting, in-person or by video call, between the Client and a Sinar Dagang consultant

2. Acceptance of Terms

By submitting an enquiry or confirming a service engagement with Sinar Dagang, you confirm that:

• You are at least 18 years of age
• You have the legal capacity to enter into a binding agreement
• You have read and understood these Terms

3. Services

Sinar Dagang provides business consulting services for small business owners in Malaysia. The scope of each service is described on our website and in any written confirmation provided before an engagement begins. We reserve the right to adjust or update service offerings, but any confirmed engagement will be delivered as agreed at the time of confirmation.

Our services are intended to provide advisory input and facilitate reflection. They do not constitute legal, accounting, financial, or tax advice. Where specialist advice is required, we will say so clearly and may suggest appropriate professionals.

4. Enquiries and Engagement Confirmation

Submitting an enquiry does not create a binding engagement. A confirmed engagement begins when both parties have agreed in writing (including by email) on the scope, price, and timing of the service.

5. Fees and Payment

Service fees are as stated on our website at the time of enquiry and are denominated in Malaysian Ringgit (RM). All prices are inclusive of any applicable taxes unless stated otherwise.

• Payment for the Morning Review is due before the session takes place
• Payment for Pricing Reflection is due before the first session
• Steady Year Support fees are invoiced monthly, due within 14 days of each invoice date

Accepted payment methods will be confirmed at the time of engagement. We do not charge hidden or additional fees beyond what was agreed at the outset.

6. Rescheduling and Cancellation

• Sessions may be rescheduled with at least 48 hours' notice at no charge
• Rescheduling with less than 48 hours' notice may result in the session being counted as used
• A full refund applies if Sinar Dagang cancels a confirmed session without an alternative date being agreed
• Client-initiated cancellation of the entire engagement after the first session is not eligible for a refund of fees already paid

7. Confidentiality

Both parties agree to keep confidential any non-public information shared during the course of an engagement. Sinar Dagang will not disclose client business information to any third party without your written consent, except where required by law.

8. Intellectual Property

Written summaries, reports, and materials produced by Sinar Dagang as part of an engagement are for the Client's private use. They may not be reproduced, published, or shared publicly without our written consent. Sinar Dagang retains the right to use anonymised and generalised observations (not identifying specific clients) for the purpose of improving our services.

9. Limitations and Disclaimers

Our services are advisory in nature. The outcomes of any business decisions made following our engagement are the responsibility of the Client. We do not make representations or claims about specific financial results, growth outcomes, or business performance improvements that may follow from our advice.

To the maximum extent permitted by Malaysian law, Sinar Dagang's liability for any claim arising from a consulting engagement shall not exceed the total fees paid by the Client for that engagement.

10. Indemnification

You agree to indemnify Sinar Dagang against any claims, losses, or costs arising from your use of our services in a manner that breaches these Terms or applicable law.

11. Termination

Either party may terminate a Steady Year Support engagement by providing 30 days' written notice. Upon termination, any sessions already delivered will be billed at the standard monthly rate. Fees for any advance-paid periods not yet delivered will be refunded on a pro-rata basis.

12. Governing Law and Disputes

These Terms are governed by the laws of Malaysia. Any dispute arising from or connected with these Terms shall first be addressed through informal discussion between the parties. If unresolved within 30 days, disputes may be referred to mediation or the courts of Kuala Lumpur, Malaysia.

13. Changes to Terms

We may update these Terms from time to time. The version published on our website on the date of your engagement will apply to that engagement. Continued use of our website following any updates constitutes acceptance of the revised Terms.
